for the use of the musoc.de platform and for purchases made via the platform

Part A – General provisions and use of the platform

§ 1 Scope, provider

(1) These General Terms and Conditions (GTC) apply to the use of the musoc.de platform (Munich Song Connection / Munich Musicians Database) and to purchases made via the platform. The provider is Munich Song Connection, Adunistr. 11, 81369 Munich, Germany (hereinafter “we” or “the platform”).

(2) For the purchase of tickets and participation slots from organisers, Part C applies in addition; the contracting party in that case is the respective organiser (§ 8).

§ 2 Registration and user account

(1) Use of the musician directory and the community features requires registration. Tickets can also be purchased without an account (guest purchase, § 12).

(2) Login credentials must be kept confidential.

(3) Content posted by users must not infringe the rights of third parties. Freely entered content may be checked automatically before publication (see Privacy Policy).

§ 3 Availability, changes to the platform

We do not owe uninterrupted availability. The range of features and the design may be further developed, provided that core contractual services (Part B) are not impaired.

Part B – Paid packages (contract with us)

§ 4 Conclusion of contract, services

(1) For certain features we offer paid packages (e.g. Ticketing, Competition Pro). The scope of services follows from the respective package description shown at checkout.

(2) The contract is concluded when the user completes the order process by clicking the button labelled “Jetzt bezahlen” (“Pay now”) and the payment is successful.

(3) For packages marked “Pay what you want”, the displayed price is a suggestion; the user chooses the amount per billing period themselves (minimum €1).

§ 5 Prices, payment, receipts

(1) All prices are final prices in euros. In accordance with § 19 of the German VAT Act (UStG), no VAT is charged.

(2) Payment is processed via Stripe or PayPal. For subscriptions, the amount is collected automatically for each billing period; in addition, a one-time setup fee may apply, which is shown at checkout.

(3) Discount codes: exactly one code may be redeemed per purchase; combination with “Pay what you want” is excluded. Codes may be limited in amount, number of uses and validity.

(4) Receipts (invoices, credit notes) are provided electronically as PDF files or delivered by e-mail; the user consents to the electronic delivery of receipts.

§ 6 Term, renewal, cancellation

(1) Packages run monthly according to the selected billing period and renew for the same period unless they are cancelled.

(2) Cancellation is possible at any time with effect from the end of the current billing period: in the “Account” area or – without logging in – via the cancellation page https://mmdb.musoc.de/feedback (“Cancel packages”, § 312k of the German Civil Code (BGB)). The services remain available until the end of the paid period.

(3) The right to extraordinary termination remains unaffected.

(4) In the event of default of payment, we may suspend the package services after an unsuccessful payment attempt.

§ 7 Right of withdrawal

Consumers have a statutory right of withdrawal for package purchases. The withdrawal instructions at https://mmdb.musoc.de/widerruf-en apply.

Part C – Tickets and participation fees (purchases from organisers)

§ 8 Role of the platform, contracting parties

(1) Tickets and participation slots for events are offered by the respective organisers. The contract is concluded exclusively between the buyer and the organiser; we merely provide the technical infrastructure (intermediation).

(2) The payment goes directly to the organiser’s payment account (Stripe/PayPal). We do not collect the purchase price and do not charge the buyer any commission.

(3) The organiser is named before the purchase; their full details (address, tax information) are contained in the receipt.

§ 9 Conclusion of contract, prices

(1) The contract is concluded by clicking the button labelled “Jetzt bezahlen” (“Pay now”) and successful payment. If capacity is sold out, no contract is concluded; amounts already collected are refunded.

(2) Ticket prices are final prices. For “Pay what you want” tickets, the buyer chooses the amount per ticket. Organisers may offer discount codes (one code per purchase; not combinable with “Pay what you want”) and may display payment-method-dependent discounts.

(3) Participation fees for musicians (e.g. slot fees) become due upon the binding confirmation of participation (“Confirm & Pay”); paragraph 1 applies accordingly.

§ 10 No right of withdrawal, refunds

(1) There is no right of withdrawal for tickets and participation fees for events tied to a specific date (§ 312g (2) no. 9 of the German Civil Code (BGB)); this is pointed out in the purchase dialogue.

(2) Cancellation: If the organiser cancels the event or the date, paid tickets are invalidated and paid amounts are automatically refunded in full via the original payment method; the buyer receives a credit note by e-mail.

(3) Partial refunds of individual tickets are at the organiser’s discretion or subject to their offer. There is no entitlement to a refund in the case of no-show.

(4) Refunds are always made via the original payment method.

§ 11 Tickets, admission

(1) Tickets are delivered electronically (PDF with QR code). The QR code entitles the holder to one-time admission and is invalidated at check-in; any duplication is at the buyer’s expense (the first scan counts).

(2) At the box office, organisers may additionally issue tickets (slips) on site; the organiser’s on-site terms apply to these.

(3) The admission and house rules of the organiser or the venue apply.

§ 12 Guest purchase, “My Tickets”

(1) Tickets can be purchased without a user account; a name and e-mail address are required.

(2) Buyers can at any time request a time-limited access link (“My Tickets”) to be sent to their purchase e-mail address in order to download tickets and receipts again.

Part D – Terms for organisers

§ 13 Admission, payment account

(1) Selling tickets and participation fees online requires: an active MMDB Ticketing package, complete and truthful seller details (name/company, address, tax status, tax number or VAT ID) and a successfully connected own payment account with Stripe and/or PayPal (including the identity verification carried out there).

(2) Without complete seller details, no receipts are generated and no account can be connected. Changes to the seller details must be updated without delay.

(3) If the MMDB Ticketing package expires, connected accounts remain in place, but no new payment transactions are possible.

§ 14 Position of the organiser

(1) The organiser sells in their own name and for their own account; payments go directly to their payment account. The transaction fees of the payment service providers are borne by the organiser; the platform does not charge any sales commission.

(2) The organiser is solely responsible for fulfilling all of their own legal obligations towards buyers (consumer information, price indication, staging of the event) as well as their own tax obligations (small business scheme or standard taxation, declaration and payment).

(3) Receipts are issued automatically by the platform in the organiser’s name with their details and their own sequential receipt number range; the organiser authorises the platform to do so.

§ 15 Cancellations and refunds

(1) If the organiser cancels an event or a date, all paid online tickets and participation fees are automatically refunded in full (including the issuing of credit notes and buyer notification). The organiser cannot derogate from this.

(2) Transaction fees already incurred that are not returned by the payment service provider are borne by the organiser.

(3) The organiser shall keep their payment account sufficiently funded so that refunds can be executed.

§ 16 Buyer data

The organiser may use the buyer data received via the platform (name, e-mail address, order data) exclusively for processing the respective purchase and for fulfilling legal obligations – in particular not for advertising purposes without their own legal basis. The organiser complies with the GDPR as an independent controller.

§ 17 Indemnification

The organiser shall indemnify the platform against third-party claims based on a breach of their obligations under §§ 13 to 16 (including reasonable costs of legal defence), unless the organiser is not responsible for the breach.

Part E – Final provisions

§ 18 Liability

(1) We are liable without limitation in cases of intent, gross negligence and injury to life, body or health.

(2) In cases of simple negligence, we are only liable for the breach of essential contractual obligations (cardinal obligations), limited to the damage typically foreseeable for this type of contract.

(3) The respective organiser is liable for the staging of the events and the performance of the ticket and participation contracts (Part C).

§ 19 Consumer dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 of the German VSBG).

§ 20 Changes to these GTC, final provisions

(1) Changes to these GTC will be announced in text form to users with an account.

(2) German law applies; for consumers, mandatory consumer protection provisions of the state of their habitual residence remain unaffected.
