Part A – General provisions and use of the platform
§ 1 Scope, provider
(1) These General Terms and Conditions (GTC) apply to the use of the musoc.de platform (Munich Song Connection / Munich Musicians Database, “MMDB”) and to purchases made via the platform. The provider is Munich Song Connection, Adunistr. 11, 81369 Munich, Germany (hereinafter “we” or “the platform”). Full provider details are given in the Imprint.
(2) For the purchase of event services from organisers, Part C applies in addition; the contracting party in that case is the respective organiser (§ 8). For users who sell event services via the platform (organisers), Part D applies in addition.
(3) Indie Munich is a cooperation partner of the initiative but is neither the provider of the platform nor a contracting party of the users.
§ 2 Registration and user account
(1) Use of the musician directory and the community features requires registration. Registration is voluntary. Tickets can also be purchased without an account (guest purchase, § 12).
(2) Login credentials must be kept confidential. The user shall inform us without delay if they suspect misuse of their account.
(3) Each person may only hold one personal user account. The account is not transferable.
§ 3 Availability, changes to the platform
(1) We do not owe uninterrupted availability. The range of features and the design may be further developed, provided that core contractual services (Part B) are not impaired.
(2) The basic features of the platform (profile, directory, community features) are free of charge. Certain features are subject to a fee (Part B).
§ 3a User obligations, content
(1) The user undertakes
- to provide truthful information and to keep it up to date,
- to post only content (texts, images, audio, links) for which they hold the necessary rights,
- not to impersonate another person or organisation,
- not to post any unlawful, insulting, discriminatory, violence-glorifying or otherwise objectionable content or spam.
(2) Automated reading of the platform (scraping, crawling), reuse of other users’ profile data outside the platform, in particular for advertising purposes, and any action that disrupts the operation of the platform or circumvents security mechanisms are prohibited. Commercial use is permitted only within the features provided for this purpose (in particular selling event services under Part D, services and booking in the musician profile).
(3) Freely entered content may be checked automatically before publication (see Privacy Policy).
(4) The user remains the owner of the rights to their content. They grant us a simple (non-exclusive), royalty-free right, limited to the period during which the content is posted, to store and display the content within the platform and to adapt it technically for display. For profiles, band/project pages and events set to public, this includes public display.
(5) The user shall indemnify us against third-party claims based on a culpable breach of their obligations under paragraphs 1 or 2, including reasonable costs of legal defence.
§ 3b Reporting unlawful content, moderation
(1) Anyone may report content they consider unlawful or in breach of these GTC by e-mail to mail@musoc.de. The report should identify the content precisely (e.g. URL) and state the reasons. This address is also our single point of contact for authorities and users under Art. 11 and 12 of Regulation (EU) 2022/2065 (Digital Services Act); communication is possible in German and English.
(2) We review reports promptly and may remove, block or restrict the visibility of content and suspend user accounts in whole or in part if content or conduct violates applicable law or these GTC, is obviously false or misleading, or constitutes spam.
(3) We inform the affected user of any such measure and the reasons for it, insofar as their contact details are known to us and there are no legal reasons to the contrary. The user may object within six months by e-mail to mail@musoc.de; we will then review the decision again.
(4) We assume no general obligation to monitor posted content.
§ 3c Deletion, termination of the user account
(1) The user may delete their user account at any time using the deletion function in the account. The profile and associated data are permanently removed, unless statutory retention obligations apply (e.g. for receipts). All features associated with the account end upon deletion. Ongoing paid packages must be cancelled beforehand in accordance with § 6.
(2) We may terminate the user agreement for free features with two weeks’ notice in text form. The right of both parties to extraordinary termination for good cause remains unaffected; good cause exists in particular in the event of serious or repeated violations of these GTC.
(3) Details of data processing are set out in the Privacy Policy.
Part B – Paid packages (contract with us)
§ 4 Conclusion of contract, services
(1) For certain features we offer paid packages (e.g. Ticketing, Competition Pro). The scope of services follows from the respective package description shown at checkout.
(2) The contract is concluded when the user completes the order process by clicking the button labelled “Jetzt bezahlen” (“Pay now”) and the payment is successful.
(3) For packages marked “Pay what you want”, the displayed price is a suggestion; the user chooses the amount per billing period themselves (minimum €1).
§ 5 Prices, payment, receipts
(1) All prices are final prices in euros. In accordance with § 19 of the German VAT Act (UStG), no VAT is charged.
(2) Payment is processed via Stripe or PayPal. For subscriptions, the amount is collected automatically for each billing period; in addition, a one-time setup fee may apply, which is shown at checkout.
(3) Discount codes: exactly one code may be redeemed per purchase; combination with “Pay what you want” is excluded. Codes may be limited in amount, number of uses and validity.
(4) Receipts (invoices, credit notes) are provided electronically as PDF files or delivered by e-mail; the user consents to the electronic delivery of receipts.
§ 6 Term, renewal, cancellation
(1) Packages run monthly according to the selected billing period and renew for the same period unless they are cancelled.
(2) Cancellation is possible at any time with effect from the end of the current billing period: in the “Account” area or – without logging in – via the cancellation page https://mmdb.musoc.de/feedback (“Cancel packages”, § 312k of the German Civil Code (BGB)). The services remain available until the end of the paid period.
(3) The right to extraordinary termination remains unaffected. For the Ticketing package, § 13a (5) applies in addition.
(4) In the event of default of payment, we may suspend the package services after an unsuccessful payment attempt.
§ 7 Right of withdrawal
Consumers have a statutory right of withdrawal for package purchases. The withdrawal instructions at https://mmdb.musoc.de/widerruf-en apply.
Part C – Tickets, participation fees and voting (purchases from organisers)
§ 8 Role of the platform, contracting parties
(1) Tickets, participation slots and other event-related services such as voting passes and voting packages (together “event services”) are offered by the respective organisers. The contract is concluded exclusively between the buyer and the organiser; we merely provide the technical infrastructure (intermediation) and do not become a party to the contract.
(2) The payment goes directly to the organiser’s payment account (Stripe/PayPal). We do not collect the purchase price and do not charge the buyer any commission. Where we organise an event ourselves, we are the organiser within the meaning of these GTC in that respect.
(3) The organiser is named before the purchase; their full details (address, tax information) are contained in the receipt.
(4) We do not check the content of organisers’ information about their events and give no guarantee that events will take place as announced.
(5) Claims arising from the contract for event services, in particular for performance, refund, price reduction or damages, are directed exclusively against the organiser. § 18 (1) remains unaffected.
§ 8a Information under § 312l BGB (online marketplace)
(1) Trader status: Before the purchase, it is displayed whether the organiser is a trader according to their own statement. We take this information from the seller details and do not verify it.
(2) No consumer protection with private organisers: If the organiser is not a trader, the special provisions for the protection of consumers in contracts with traders (in particular §§ 312 et seq. BGB) do not apply to the contract for event services.
(3) Allocation of obligations: The organiser is responsible for staging the event, the accuracy of the event information, price information, refunds and the fulfilment of their consumer-law obligations. We are responsible for operating the platform, the technical processing of the purchase, the delivery of tickets and receipts and for automatically initiating the refund upon cancellation under § 10 (2) via the organiser’s payment account; the organiser is responsible for the execution of the refund (§ 15).
(4) Ranking of offers: Events are displayed in the event calendar in ascending order of event date; filters are selected by the user. There are no paid placements.
§ 9 Conclusion of contract, prices
(1) The contract is concluded by clicking the button labelled “Jetzt bezahlen” (“Pay now”) and successful payment. If capacity is sold out, no contract is concluded; amounts already collected are refunded.
(2) Ticket prices are final prices. For “Pay what you want” tickets, the buyer chooses the amount per ticket. Organisers may offer discount codes (one code per purchase; not combinable with “Pay what you want”) and may display payment-method-dependent discounts.
(3) Participation fees for musicians (e.g. slot fees) become due upon the binding confirmation of participation (“Confirm & Pay”); paragraph 1 applies accordingly.
§ 10 No right of withdrawal, refunds
(1) There is no right of withdrawal for event services for events tied to a specific date (§ 312g (2) no. 9 BGB); this is pointed out in the purchase dialogue.
(2) Cancellation: If the organiser cancels the event or the date, paid tickets are invalidated and paid amounts are automatically refunded in full from the organiser’s payment account via the original payment method; the buyer receives a credit note by e-mail. If a refund fails, the buyer’s claim is directed against the organiser; we support the buyer with the information about the organiser available to us.
(3) Partial refunds of individual tickets are at the organiser’s discretion or subject to their offer. There is no entitlement to a refund in the case of no-show.
(4) Refunds are always made via the original payment method.
§ 11 Tickets, admission
(1) Tickets are delivered electronically (PDF with QR code). The QR code entitles the holder to one-time admission and is invalidated at check-in; any duplication is at the buyer’s expense (the first scan counts).
(2) At the box office, organisers may additionally issue tickets (slips) on site; the organiser’s on-site terms apply to these.
(3) The admission and house rules of the organiser or the venue apply.
§ 12 Guest purchase, “My Tickets”
(1) Tickets can be purchased without a user account; a name and e-mail address are required.
(2) Buyers can at any time request a time-limited access link (“My Tickets”) to be sent to their purchase e-mail address in order to download tickets and receipts again.
Part D – Terms for organisers
§ 13 Admission, payment account, consent
(1) Selling event services (§ 8 (1)) online requires: an active MMDB Ticketing package, complete and truthful seller details (name/company, address, tax status, tax number or VAT ID, statement as to whether the organiser is a trader) and a successfully connected own payment account with Stripe and/or PayPal (including the identity verification carried out there).
(2) Without complete seller details, no receipts are generated and no account can be connected. Changes to the seller details must be updated without delay. The organiser alone is responsible for the accuracy of the statement on trader status.
(3) If the MMDB Ticketing package expires, connected accounts remain in place, but no new payment transactions are possible.
(4) The organiser expressly consents to this Part D when saving the seller details or before connecting the payment account. The consent is stored together with the time and the version of these GTC.
§ 13a Acceptable use, suspension
(1) Selling via the platform is permitted exclusively for event services for music and cultural events within the purpose of the platform. Selling any other goods or services via the platform is prohibited.
(2) In particular, sales for unlawful events or purposes are prohibited, as are business activities that are not permitted under the rules of the payment service providers (Stripe: “Prohibited and Restricted Businesses”; PayPal: “Acceptable Use Policy” – in each case in the version applicable at the time of sale). The organiser has already accepted these rules vis-à-vis Stripe or PayPal when opening their payment account.
(3) Events must be described truthfully (in particular venue, date, programme, prices); selling for events that are not seriously planned is prohibited. The organiser must be entitled to stage the event, in particular must have the venue’s commitment.
(4) We may suspend the organiser’s online sales in whole or for individual events, end ongoing sales, hide events and disconnect the payment account if
- they violate these GTC,
- there is a reasonable suspicion of fraud or other misuse,
- chargebacks, payment disputes or buyer complaints accumulate conspicuously,
- refunds cannot be executed, or
- a payment service provider restricts or suspends their account.
In doing so, we take the organiser’s legitimate interests into account and inform them of the measure and the reasons for it; § 3b (3) applies accordingly. Tickets already sold remain valid unless the organiser cancels the event.
(5) In the event of serious or repeated violations, we may terminate the Ticketing package and the user agreement without notice and suspend the user account. In this case, package fees already paid for the current period are not refunded, insofar as the organiser is responsible for the violation.
(6) Measures taken by the payment service providers remain independent of our measures. §§ 15 to 17 remain unaffected.
§ 14 Position of the organiser
(1) The organiser sells in their own name and for their own account; payments go directly to their payment account. The transaction fees of the payment service providers are borne by the organiser; the platform does not charge any sales commission.
(2) The organiser is solely responsible for fulfilling all of their own legal obligations towards buyers (consumer information, price indication, staging of the event) as well as their own tax obligations (small business scheme or standard taxation, declaration and payment).
(3) The organiser is furthermore solely responsible for all permits, registrations and levies in connection with their events, in particular vis-à-vis collecting societies (e.g. GEMA), the Artists’ Social Security Fund (Künstlersozialkasse) and authorities, as well as for the safety of the event.
(4) Receipts are issued automatically by the platform in the organiser’s name with their details and their own sequential receipt number range; the organiser authorises the platform to do so. The organiser is responsible for the accuracy of the receipts in terms of content and tax on the basis of their seller details.
§ 15 Cancellations, refunds, chargebacks
(1) If the organiser cancels an event or a date, all event services paid for that event or date are automatically refunded in full (including the issuing of credit notes and buyer notification). The organiser cannot derogate from this.
(2) Transaction fees already incurred that are not returned by the payment service provider are borne by the organiser.
(3) The organiser shall keep their payment account sufficiently funded so that refunds can be executed.
(4) Chargebacks, payment disputes and refunds, including all associated fees and costs, are borne exclusively by the organiser. The organiser handles them themselves via their payment account.
(5) We are not obliged to advance refunds. If a refund cannot be executed due to insufficient funds or for other reasons, the organiser must make it without delay by other means and provide us with proof thereof. If claims are asserted against us by buyers or payment service providers, the organiser shall reimburse us for the amounts paid and costs incurred.
§ 16 Buyer data
The organiser may use the buyer data received via the platform (name, e-mail address, order data) exclusively for processing the respective purchase and for fulfilling legal obligations – in particular not for advertising purposes without their own legal basis. The organiser complies with the GDPR as an independent controller.
§ 17 Indemnification
(1) The organiser shall indemnify the platform against all third-party claims, in particular by buyers, participants, payment service providers, authorities, collecting societies and rights holders, asserted against us in connection with their events, their offers, their content or a breach of their obligations under these GTC. This includes reasonable costs of legal defence. The indemnification does not apply insofar as the organiser is not responsible for the infringement.
(2) We inform the organiser without delay of any claims asserted and give them the opportunity to comment. We will not acknowledge any claims without their consent, unless this is necessary to avert considerable disadvantages.
§ 17a Cooperation on enquiries
(1) The organiser answers enquiries and complaints from buyers about their events within a reasonable period, as a rule within three working days.
(2) If enquiries or complaints about their events reach us, we may forward them to the organiser and give the buyer the organiser’s contact details from the seller details. At our request, the organiser provides the information necessary for clarification.
§ 17b Continued validity
The organiser’s obligations under §§ 15 to 17a continue to apply after expiry or cancellation of the Ticketing package and after deletion of the user account, insofar as they relate to sales from the period before.
Part E – Final provisions
§ 18 Liability
(1) We are liable without limitation in cases of intent, gross negligence, injury to life, body or health and under the German Product Liability Act.
(2) In cases of simple negligence, we are only liable for the breach of essential contractual obligations (cardinal obligations), limited to the damage typically foreseeable for this type of contract. Cardinal obligations are obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the contracting party may regularly rely. Otherwise, our liability for simple negligence is excluded.
(3) The respective organiser is exclusively liable for staging the events and performing the contracts for event services (Part C). Any liability of the platform in this respect is excluded, unless paragraph 1 applies.
(4) We are not responsible for content posted by users or organisers as long as we have no knowledge of its unlawfulness. Once we have knowledge, we act in accordance with § 3b.
(5) The limitations of liability also apply in favour of our vicarious agents and assistants.
§ 19 Consumer dispute resolution
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 of the German VSBG).
§ 20 Changes to these GTC
(1) Changes to these GTC will be announced in text form to users with an account at least four weeks before they take effect. Users who do not agree with the change may delete their account or cancel packages in accordance with § 6.
(2) Organisers must expressly consent to amended terms in Part D before their next online sale. Without consent, no new payment transactions are possible; tickets already sold remain unaffected.
(3) Purchases of event services are governed by the version valid at the time the contract is concluded.
§ 21 Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; for consumers, mandatory consumer protection provisions of the state of their habitual residence remain unaffected.
(2) If the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Munich.
(3) The German version of these GTC is authoritative. Translations are for information purposes only.
(4) Should individual provisions be invalid, the remainder of the contract remains valid (§ 306 BGB).
